Business Claim Terms & Release

These Business Claim Terms ("Terms") govern your request to claim and manage a business listing on Guide Napa Valley, operated by Moxaroo, LLC ("we," "us," or "the Company"). By checking the attestation box on the claim form and submitting a claim request, you agree to these Terms.
1. Authority to Act
You represent and warrant that you are an owner, officer, employee, or other individual duly authorized to act on behalf of the business named in your claim request ("the Business"), and that you have actual authority to request access to, and to manage, edit, and respond to communications through, the Business's listing on our platform.
2. Accuracy of Information
You represent that the information you provide in connection with this claim request, and any information you submit or edit through the Business's listing after your claim is approved, is true, accurate, and not misleading to the best of your knowledge.
3. Assumption of Responsibility
Once your claim is approved, you are solely responsible for the content and accuracy of the Business's listing, including but not limited to its hours, photos, descriptions, offers, and any responses you send to visitor inquiries through the platform. We do not review or verify content you submit before it is published, and we are not responsible for any errors, omissions, or consequences arising from information you provide or actions you take through the listing.
4. Release and Hold Harmless
To the fullest extent permitted by law, you release, and agree to hold harmless, the Company, its officers, employees, and agents, from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your claim request and any representations made in connection with it; (b) your access to, use of, or inability to use, the Business's listing or claim management tools; (c) any dispute between you and any other person or entity regarding authority over, or ownership of, the Business or its listing; or (d) any content you submit, edit, or publish through the listing.
5. Indemnification
You agree to indemnify and defend the Company against any third-party claim, demand, or action arising out of or related to your breach of these Terms, your lack of actual authority to act on behalf of the Business, or content you submit through the listing.
6. No Guarantee of Approval; Right to Revoke
Submitting a claim request does not guarantee that it will be approved. We may approve, reject, or request additional information for any claim request in our sole discretion, whether the review is automated or performed by our staff. We reserve the right to suspend or revoke a Business's claimed status and any associated account access at any time, with or without notice, including where we believe the claim was made without proper authority, the information provided was false or misleading, or these Terms have been violated.
7. Changes to These Terms
We may update these Terms from time to time. The version you agree to is the version in effect at the time you submit your claim request; changes to these Terms after that date do not apply retroactively to a claim already submitted, but will apply to any future claim requests.
